Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “Customer”) and Portell Communications Inc. (operating as Portal Networks and Portal Assist; “Portell,” “we,” “us”). They govern your use of the Portal Assist AI receptionist service, the website at assist.prtl.ca, and related features (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. The Service
Portal Assist answers calls and texts to a phone number we provision for you, using an automated AI assistant that can take messages, capture callbacks, answer questions, book appointments, and send you summaries. Features, plans, and limits may change as we improve the Service.
2. Accounts & eligibility
You must be a business or an individual acting in a business capacity, and able to form a contract. You’re responsible for the accuracy of your account information, for keeping your sign-in credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Plans, trials & billing
- Paid plans. The Service is offered on paid monthly plans (Starter, Pro, Scale) with optional add-ons (AI Texting; Team per-seat). Prices are in Canadian dollars and exclude applicable taxes.
- Free trial. Paid plans include a 7-day free trial. A valid payment method is required up front; you won’t be charged until the trial ends unless you cancel.
- Billing & renewal. Subscriptions bill monthly in advance through our payment processor (Stripe) and renew automatically until cancelled.
- Cancellation. You can cancel anytime; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- Changes. We may change prices or plan features with reasonable advance notice; changes apply at your next renewal.
- Non-payment. We may suspend or terminate the Service for overdue amounts.
4. Acceptable use
You agree not to use the Service to: break the law; send unlawful, harassing, deceptive, or spam communications; infringe others’ rights; place or facilitate robocalls or telemarketing in violation of applicable rules; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; or resell the Service without our consent. You must comply with all applicable telecommunications and anti-spam rules, including Canada’s Anti-Spam Legislation (CASL) and CRTC requirements.
5. Your responsibilities for calls & consent
You are responsible for how you use the Service with your customers and callers. In particular, you are responsible for providing any notices and obtaining any consents required by law in your jurisdiction and industry for call recording, transcription, automated/AI handling, and for sending SMS or email. You represent that you have the rights and consents necessary for the data you submit or that the Service collects on your behalf.
6. AI & accuracy
The Service relies on third-party AI models. Transcripts, summaries, sentiment, and AI responses may be inaccurate or incomplete. You are responsible for reviewing them and should not rely on them as legal, financial, medical, or other professional advice.
7. Telephone numbers & emergency calling
Phone numbers we provision are licensed to you for use with the Service and remain subject to telecom regulations, including number portability. The Service is not a telephone line and is not a substitute for traditional or wireless telephone service. It does not support 911 or other emergency calling. Do not rely on Portal Assist to contact emergency services. VoIP-based services have inherent limitations during internet or power outages.
8. Third-party services
The Service integrates with third parties (e.g., Google Calendar, Microsoft Outlook, Stripe). Your use of those services is governed by their own terms, and we’re not responsible for them.
9. Intellectual property & your data
We and our licensors own the Service and all related software and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You own your data: your account information and the call, message, and contact data processed for you. You grant us the rights needed to operate and improve the Service and to comply with law. We handle personal information as described in our Privacy Policy. If you send us feedback, we may use it without obligation.
10. Availability
We work to keep the Service available and reliable, but it is provided on an “as-is” and “as-available” basis. Unless we’ve agreed to a separate written service-level agreement, we do not guarantee uninterrupted or error-free operation.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the total amount you paid for the Service in the six (6) months before the event giving rise to the claim. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
13. Indemnification
You will defend and indemnify Portell from claims, losses, and expenses arising out of your use of the Service, your content or communications, your violation of these Terms or applicable law, or your failure to obtain required caller consents.
14. Term & termination
These Terms apply while you use the Service. You may stop using and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure. On termination, your right to use the Service ends; we may delete your data after a reasonable period, subject to legal retention requirements. Sections that by their nature should survive (e.g., 9, 11–13, 15) survive termination.
15. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada.
16. Changes to these Terms
We may update these Terms from time to time. We’ll update the “Last updated” date and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect means you accept the updated Terms.
